For any company formation, there are required documents that have to be sent to Companies House. Companies are incorporated and dissolved at Companies House. It also examines and stores company information which is delivered to it under the Companies Act and related legislation, and it makes this information available to the public. You or your accountant can do company formations or alternately you can use the services of a company formations agent. The fees charged for UK company formation services vary depending on the specific accountant or formation agent. If you choose to do the company formation yourself, the fee will vary depending on whether you choose the standard service or same day service and whether you submit paper forms or do the application online. Whichever method you choose, there are three documents that need to be submitted to Companies House for company formation. A Form IN01 is the initial company formation document you'll need. This is the formal application form. This is the form you use to submit details such as what the registered office address will be, who the company officers will be, the classes of shares that will be issued and information about the share capital. Before filling in the form, check that your chosen company name is available and does not contravene the rules regarding sensitive expressions and words. Information regarding these rules is available on the Companies House website, along with a free facility to check whether your desired company name is already in use. The Memorandum of Association is the second required form. It has the names and signatures of the subscribers to the company. If the company is a share-limited company, the commitment by each subscriber to take at least one share is noted in this document. The Articles of Association is the third necessary document for company formations. This document functions as the company rulebook containing information on the running of the company. Stemming from the Companies Act 2006, model articles were made available. You can use these standard model articles unless you want to provide your own articles. As mentioned previously, these forms can be completed online through the Companies House website or alternately another option is to fill in the paper forms which are then sent to Companies House. The three forms are all available to download on the Companies House website.
